IMPORTANT: Please read these Terms carefully before using Yodoo. By accessing or using our Services, you agree to be bound by these Terms, including our Acceptable Use Policy, Subscription Terms, Refund Policy, and all other provisions below.
PART 1: GENERAL TERMS
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and XENET LTD ("we", "us", "our"), a company registered in England and Wales (Company Number: 16336979), trading as Yodoo.
By creating an account, clicking "I Agree", or using our Services at yodoo.ai, you agree to these Terms. If you do not agree, do not use the Services.
If you are using Yodoo on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Eligibility
You must be at least 18 years old to use Yodoo. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
3. Our Services
Yodoo is an AI-powered platform providing access to multiple large language models (LLMs) and AI tools for text generation, image creation, video generation, audio production, and related services.
4. Account Registration
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your password and account
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorised use
- Not share your account or sell access to others
5. License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
(a) Access and use the Yodoo Services for personal or internal business purposes
(b) Use content you create through the Services in accordance with these Terms
(c) Use AI-generated outputs according to your subscription tier
We and our licensors reserve all rights not expressly granted. This license terminates immediately if you violate these Terms.
PART 2: SUBSCRIPTIONS, CREDITS & PAYMENTS
6. Subscription Tiers
Yodoo offers multiple subscription tiers, which may include Free, Starter, Pro, Ultimate, and other tiers we may introduce from time to time. Each tier provides different levels of access to AI models, features, and usage limits.
Current pricing, features, and limits for each tier are displayed at yodoo.ai/pricing. We reserve the right to modify subscription tiers, features, and pricing at any time, subject to the notice provisions in these Terms.
7. Credit System
7.1 What Are Credits?
Credits are used to access certain AI features. Different actions consume different amounts of credits based on computational resources required. The credit cost for each action is displayed before you confirm.
7.2 Included Credits
Each subscription tier includes a monthly allocation of credits. The number of credits included with each tier is displayed on your account dashboard and at yodoo.ai/pricing.
7.3 Credit Top-Ups
You can purchase additional credits at any time. Current top-up pricing is displayed at yodoo.ai/pricing. Top-ups can be purchased multiple times.
7.4 Credit Expiration
- Subscription Credits: Reset monthly; do not roll over to the next billing period
- Purchased Credits (Top-Ups): Do not expire while your account remains active
- Usage Order: Subscription credits are used first, then purchased credits
- Account Closure: All unused credits (subscription and purchased) are forfeited if you close your account
8. Billing and Payment
- Billing: Paid subscriptions are billed monthly or annually in advance
- Payment Methods: Credit/debit cards and other methods via Stripe
- Currency: Prices are charged in GBP (British Pounds). Local currency display is for convenience only
- Taxes: VAT, GST, or other applicable taxes may be added depending on your location
- Failed Payments: We will retry and notify you; access may be restricted until resolved
9. Price Changes
We may change our prices at any time. We will provide at least 30 days' notice before any price increase takes effect. New prices will apply from your next billing cycle after the notice period. You may cancel your subscription before the new price takes effect if you do not wish to pay the increased amount.
PART 3: REFUNDS & CANCELLATION
10. Cancellation
10.1 How to Cancel
You may cancel your subscription at any time via your account settings at yodoo.ai/settings or by emailing support@yodoo.ai.
10.2 Effect of Cancellation
- Your subscription remains active until the end of your current billing period
- After that, your account reverts to the Free tier
- Your data and any purchased (top-up) credits are preserved
- No partial refunds are provided for unused time in the billing period
11. Refunds
11.1 Cooling-Off Period (UK/EU Consumers)
UK and EU consumers have a statutory 14-day cooling-off period for digital services. However, by using the Services immediately after purchase, you acknowledge that:
- You request that we begin providing the service immediately
- You may lose your right to a full refund once you start using the service
- Any refund may be reduced pro-rata to reflect services already received
11.2 When Refunds Are Available
- 14-day cooling-off (UK/EU): Full refund if service unused; pro-rata refund if partially used
- Significant service unavailability: Pro-rata refund or account credit at our discretion
- Duplicate charges: Full refund of the duplicate amount
- Changed your mind (after 14 days): No refund; you may cancel for the next billing period
11.3 Credit Top-Up Refunds
Credit top-ups are generally non-refundable once purchased. Exceptions may apply for:
- Unused credits purchased in error (within 48 hours)
- UK/EU consumers within the 14-day cooling-off period with no credit usage
Once credits have been used (even partially), no refund is available for the used portion.
11.4 How to Request a Refund
Email support@yodoo.ai with your account email address, date of purchase, and reason for your request. We aim to respond within 5 business days. Approved refunds are processed within 5-10 business days to your original payment method.
PART 4: USER CONTENT & INTELLECTUAL PROPERTY
12. User Content
12.1 Your Content
You retain ownership of content you submit to Yodoo ("User Content"). You are solely responsible for ensuring you have the necessary rights to submit such content.
12.2 License to Us
By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely to provide the Services to you.
12.3 AI-Generated Content
Subject to these Terms, you may use AI-generated content created through Yodoo for personal and commercial purposes. You are responsible for reviewing all outputs for accuracy, appropriateness, and potential intellectual property issues before use.
12.4 Uploaded Media
When you upload photos, images, documents, audio, or video:
- Files are stored securely to provide the Services
- Files may be processed by third-party AI providers to fulfil your requests
- We do not extract facial recognition or biometric data from your uploads
- You represent and warrant that you have the right to upload the content
13. Intellectual Property
The Services, including all software, design, trademarks, and content (excluding User Content), are owned by XENET LTD and protected by intellectual property laws. You may not copy, modify, distribute, sell, or reverse engineer any part of the Services without our prior written consent.
14. Copyright & DMCA
We respect intellectual property rights. If you believe content on Yodoo infringes your copyright, submit a notice to support@yodoo.ai including:
- Your physical or electronic signature
- Identification of the copyrighted work claimed to be infringed
- Identification and location of the allegedly infringing material
- Your contact information (address, telephone, email)
- A statement that you have a good faith belief the use is not authorised
- A statement under penalty of perjury that the information is accurate and you are authorised to act on behalf of the copyright owner
We may terminate accounts of repeat infringers.
PART 5: ACCEPTABLE USE & SAFETY
15. Acceptable Use Policy
15.1 Prohibited Content
You may not use Yodoo to create, upload, or share:
- Illegal Content: Content that violates any applicable law or regulation
- Child Sexual Abuse Material (CSAM): Any content sexualising minors
- Violence & Extremism: Content promoting violence, terrorism, or extremist ideologies
- Hate Speech: Content targeting individuals or groups based on protected characteristics
- Harassment: Content intended to bully, threaten, or intimidate individuals
- Disinformation: Deliberately false content designed to deceive or manipulate
- Malware: Code or content designed to harm computer systems or users
- Non-Consensual Intimate Images: Sexual or intimate content created or shared without consent
15.2 Prohibited Activities
- Attempting to bypass, circumvent, or disable safety filters or content moderation
- Automated scraping, crawling, data mining, or bulk extraction of content or data
- Using the Services as training input for other AI systems without written permission
- Impersonating others or misrepresenting your identity or affiliation
- Sharing account credentials or selling access to your account
- Infringing intellectual property or proprietary rights of others
- Interfering with, disrupting, or placing undue burden on the Services
15.3 AI-Specific Rules
- Do not use AI to create deceptive deepfakes or synthetic media intended to mislead
- Do not use AI for high-stakes automated decisions without appropriate human oversight
- Disclose AI-generated content when required by law, platform rules, or context
- Do not use voice cloning features without the consent of the voice owner
16. AI Safety & Limitations
You acknowledge that AI systems have inherent limitations:
- Accuracy: AI can produce incorrect, incomplete, or misleading information ("hallucinations")
- Not Professional Advice: AI outputs do not constitute and should not replace professional medical, legal, financial, or other advice
- Bias: AI systems may reflect biases present in their training data
- Human Review Required: You must review and verify all AI outputs before relying on or publishing them
17. Enforcement
Violations of these Terms may result in: a warning, temporary suspension of access, permanent termination of your account, removal of content, or reporting to law enforcement authorities. We reserve the right to take any of these actions at our sole discretion without prior notice.
PART 6: DISCLAIMERS & LIABILITY
18. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, timely, secure, or error-free. AI outputs may contain errors, inaccuracies, or inappropriate content.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XENET LTD AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.
Our total aggregate liability to you shall not exceed the greater of: (a) the total amount you paid to us in the 12 months preceding the claim, or (b) £100.
Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law.
20. Indemnification
You agree to indemnify, defend, and hold harmless XENET LTD and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
21. Release of Claims
You release XENET LTD from any claims, demands, and damages arising from disputes with other users, third-party content, third-party services, or your reliance on AI-generated outputs.
California Residents: You expressly waive California Civil Code Section 1542, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
PART 7: INTERNATIONAL & DISPUTE RESOLUTION
22. Geographic Restrictions
The Services may be restricted or unavailable in certain regions due to legal requirements, licensing restrictions, sanctions compliance, or business considerations. We may identify your location through IP address, payment information, and other means.
The Services are not available to users located in countries subject to UK, EU, or US sanctions, or to individuals on any applicable sanctions lists.
23. Dispute Resolution
23.1 Governing Law
These Terms and any disputes arising from them are governed by the laws of England and Wales. If you are a consumer, you may also benefit from any mandatory consumer protection laws in your country of residence.
23.2 Binding Arbitration (US Users)
FOR USERS LOCATED IN THE UNITED STATES: Any dispute arising from these Terms or your use of the Services shall be resolved through binding individual arbitration rather than in court, except that either party may bring claims in small claims court or seek injunctive relief for intellectual property disputes.
CLASS ACTION WAIVER: YOU AGREE TO RESOLVE DISPUTES WITH US IN YOUR INDIVIDUAL CAPACITY ONLY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
Opt-Out Right: You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to support@yodoo.ai stating your name, email, and clear intent to opt out.
23.3 UK/EU Jurisdiction
For users in the UK and EU, the courts of England and Wales have exclusive jurisdiction, except where consumer protection laws in your country of residence provide otherwise. EU consumers may also use the EU Online Dispute Resolution platform at ec.europa.eu/odr.
24. EU/UK Consumer Rights
If you are a consumer in the EU or UK, you have a statutory 14-day cooling-off period for digital services. Nothing in these Terms affects your statutory consumer rights under applicable EU or UK law, including the Consumer Rights Act 2015.
PART 8: GENERAL PROVISIONS
25. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, for any reason including violation of these Terms. You may terminate your account at any time by contacting us or using the account settings. Upon termination, your license to use the Services ends immediately and all unused credits are forfeited.
26. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services.
27. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
28. Entire Agreement
These Terms, together with our Privacy Policy (yodoo.ai/privacy) and Cookie Policy (yodoo.ai/cookies), constitute the entire agreement between you and XENET LTD regarding your use of the Services and supersede all prior agreements and understandings.
29. Language
These Terms are provided in English. If we provide a translation, the English version shall prevail in case of any conflict or inconsistency.
